Leticia is a partner in Garrigues Corporate/M&A Department since February 2021. She has extensive experience in complex M&A transactions, both public M&A (with ample experience in takeover bids and mergers of listed companies) and private M&A, as well as in private equity deals advising international financial sponsors. She is also a specialist in equity capital markets, corporate governance and market abuse. She has an extensive experience, amassed both at top-tier international law firms (she pursued most of her career at Linklaters) and in the public sector.
From 2016 to 2020 she served as Chief of Staff to the Chairman of the National Securities Market Commission (CNMV), Sebastián Albella, and was a member of its Steering Committee. During such time, she formed part of ESMA's Takeover Bid Network representing the CNMV and was involved in the CNMV's internal teams that prepared the first ever Q&A on Takeover bids (2018) and the review of the Good Governance Code in 2020. She is a member of ESMA's Consultative Working Group for Corporate Finance of its Issuers Standing Committee (experts group).

Leticia is a partner in Garrigues Corporate/M&A Department since February 2021. She has extensive experience in complex M&A transactions, both public M&A (with ample experience in takeover bids and mergers of listed companies) and private M&A, as well as in private equity deals advising international financial sponsors. She is also a specialist in equity capital markets, corporate governance and market abuse. She has an extensive experience, amassed both at top-tier international law firms (she pursued most of her career at Linklaters, including a secondment at its London office) and in the public sector.
In particular, from 2016 to 2020 she served as Chief of Staff to the Chairman of the Spanish Securities Market Commission (CNMV), Sebastián Albella, and was a member of its Steering Committee. In that role she provided legal advice, mainly, relating to takeover bids, mergers, IPOs, securities offerings and, in general, to all kinds of corporate transactions involving listed companies and securities market deals, as well as in the areas of corporate governance, transparency and market abuse.
Also, during her time at the CNMV she was a member and participated in the following groups and internal technical teams:
- Member of the Takeover Bid Network of ESMA (the European Securities and Markets Authority)
- Participated in the drafting of key guidelines and soft law criteria issued by the CNMV (first ever Q&A on Takeover bids (2018), Technical Guide on Nominations and Remunerations Committee, Technical Guide on Audit Committees) and formed part of the technical team that carried out the review of the Good Governance Code of Listed Companies performed by the CNMV in June 2020.
- Formed part of the technical team that drafted the preliminary bill of Law 5/2021, of April 12, amending the Spanish Companies Act, the Spanish Securities Markets Act and other financial provisions, which introduced very important amendments in the areas of corporate governance, transparency and securities market laws.
- Member of the Brexit coordination group within the Spanish financial services area (comprising the Ministry of Economy, the Secretariat-General of Treasury and Financial Policy, the CNMV, the Bank of Spain and the Directorate-General of Insurance and Pension Funds).
During her time at Linklaters she was involved in numerous landmark M&A transactions (of private and listed companies), as well as private equity and joint venture deals, both domestic and cross-border. In addition, she regularly advised different listed companies on corporate governance matters.
She is currently a member of ESMA's Consultative Working Group for Corporate Finance of its Issuers Standing Committee (experts group), which advises on takeover bids, corporate governance, transparency and prospectuses.
