Félix Ferreño is a partner in Garrigues' Corporate Department. His main area of practice is mergers and acquisitions (M&A) and in particular private equity, advising international and domestic funds, management teams and companies from various sectors on all types of transactions, and at all stages of the investment cycle (fundraising, investment and divestment). He also has extensive experience advising on transactions in the financial services industry, having participated in several of the most complex M&A transactions in the sector. He has been recognized by The Legal 500 (EMEA) as Next Generation Partner in the Private Equity practice (2022), and by IFLR1000 as Rising Star Partner in the M&A practice (2021-2022). Félix holds a law degree from the University of Santiago de Compostela (2001-2006) and a Master in Business Law from Centro de Estudios Garrigues (2006-2007; Aranzadi Award).
Experience
In his professional practice he has advised on M&A and private equity matters to international and domestic funds, management teams, family offices and companies from various sectors, at all stages of the investment cycle (fundraising, investment and divestment) and on all types of transactions, including:
- Buyouts under multiple structures and strategies (e.g. leveraged buy-outs, management buy-outs, add-ons, asset deals, carve-outs, P2Ps, co-investments, minorities, GP-led transactions, secondaries and special situations), both in bilateral processes and in competitive auctions;
- Complex corporate mergers and spin-offs, both domestic and cross-border, as part of a takeover or as a mechanism for a group corporate restructuring;
- Investment agreements, joint ventures and all types of strategic alliances, with corporate or contractual structure, profit sharing agreements, joint ventures or silent partner agreements; and
- Fundraising and subscription of investment commitments in private equity vehicles, including the negotiation of limited partners agreements.
Within the context of such transactions, his practice includes the negotiation, drafting and review of all contracts and legal documentation accompanying the main agreement, such as side letters, shareholders’ agreements, put and call options, transitional service agreements, reinvestment agreements and/or incentive plans for the management team, etc.
In terms of industry specialization, although Felix has advised on transactions in a multitude of sectors (e.g. healthcare, education, security, defense and aeronautics, food, consumer and retail, technology, construction and infrastructure, among others), his extensive experience in the financial services industry is worth mentioning. In particular, Felix has advised both banks and insurance companies in several of the most remarkable bancassurance and reinsurance transactions made in Spain, as well as buyers and sellers in complex acquisitions of banks, security brokers and other regulated entities in the sector.
Felix also provides ongoing advice on contractual (services, manufacturing, supply, distribution and agency agreements and, in general, any commercial agreements specific to the client's activity) and corporate matters (corporate governance, structural modification transactions, directors' liability, board secretariat, etc.).
In September 2013, Félix began his secondment at the London office of Cravath, Swaine & Moore LLP, as Corporate Foreign Associate, rejoining Garrigues in September 2014. During this year his practice focused on both debt and equity securities market transactions.
