Juan González Ortega is a principal associate in the Corporate Department at Garrigues, where his professional practice focuses on the areas of commercial law, mainly relating to M&A matters, insurance law, capital markets, commercial contracts in general and corporate law. He has experience advising banks, insurers, private equity funds and other operators, in negotiating and formalizing agreements recording the sale and purchase, merger and integration of companies, shareholder agreements and protocols, investment and divestment agreements, both with national and international clients. He also provides ongoing advice on corporate governance, corporate and commercial contract matters, having, in particular, extensive experience in advising listed companies.
During 2013 he was seconded at the Advisory Unit of the Legal Department of the Bank of Spain and during 2017 he was seconded as an International Associate at Ropes & Gray in London.
He Holds a Double Degree in Law and Business Administration from Universidad Autonoma de Madrid.
Experience
Juan González Ortega joined the firm in 2010, where he has developed all his career, and he is principal associate since January 2021.
He carries out his professional activity in the Corporate/Commercial law practice of Garrigues, particularly in the areas of mergers and acquisitions, insurance, capital markets corporate law and commercial contracts. He also has experience in banking law. Over the course of his career, he has participated in national and international transactions, including:
- Sale and purchase of companies, with a regulatory and banking component in some of them
- Bancassurance deals and other types of alliances involving insurance companies
- Merger transaction of high complexity and volume (for instance, banking mergers)
- Cross-border structural modification transactions
- Complex multi-jurisdictional transactions in Spain and in other jurisdictions, alongside other legal teams
- Issuance of variable income securities and debt instruments of various type through public or private offering
- Incorporation of issuers into secondary markets and multilateral trading systems and participation in IPOs and in the implementation of corporate governance of several listed companies.
Juan also provides ongoing advice on corporate governance, corporate and commercial law matters to numerous listed companies and national and international business groups.
