Óscar Alberto focuses on corporate law, advising national and foreign clients on processes for the acquisition of private companies, due diligence processes, corporate governance, as well as on day-to-day legal matters.
He has extensive experience in the incorporation of commercial companies in Mexico, the drafting of minutes of shareholders’ meetings, agreements, contracts, powers of attorney, general corporate secretary services, the regularization of Mexican companies in relation to their corporate law obligations, updating corporate books, preparing, drafting and carrying out annual board meetings, notices of quarterly updates and registration at the Foreign Investment Registry of Mexico, and drafting and filing of notices on the Electronic Publication System for Companies.
Experience
Óscar Alberto Durán Ramírez is an associate in the Real Estate and Corporate and M&A practices. He has experience in representing Mexican companies and their shareholders in acquisitions of shares by foreign entities. His clients include one of the main manufacturers of steel rolling mills and electrical equipment for motor vehicles in Mexico.
He formed part of the team in charge of the incorporation in Mexico of one of the largest software and systems developers in the world, through a subsidiary.
He has participated in the incorporation in Mexico of a leading international high-end manufacturer of consumables for professional and domestic kitchens, foodservice systems and in the convenience store industry, as well as professional coffee brewing.
He also contributed to the incorporation in Mexico of a leading US hyperscale data center developer, participating in the analysis and review of legislation with the government. Oscar also played a key role in the real estate negotiations to develop the project and facilitate the incorporation of over 50 hectares of land previously owned by the local government into a private property system, adding the land to a trust for the development of the data center campus.
He is a native Spanish speaker and is fluent in English.
