Partner in the Corporate/Commercial Department at Garrigues, he joined the firm in 1997 and was appointed partner in 2010. He combines his activity in Spain with his position as partner in charge of Garrigues’ Warsaw office, where he manages and coordinates the office as well as the local law advisory services provided by the team of lawyers in Poland. He has extensive experience in M&A transactions and in providing corporate and contractual advice. He specializes in international transactions, participating in, advising on and coordinating numerous inter-jurisdictional transactions (both in Europe and the Americas), of Spanish and international clients in different countries. As a result of his activities, he has a solid understanding of the issues that commonly arise with these types of projects. He regularly participates in providing advice to clients with interests in the renewable energies, aerospace, biotechnology, fintech industries, etc, and is currently the board secretary of companies that he advises. He is comfortable working either in Spanish or in English.
Experience
Carlos Rapallo is a partner in the Corporate/Commercial Department (M&A, corporate and contract law) and is also in the partner in charge of Garrigues’ Warsaw office. He has vast experience in M&A transactions, corporate law and negotiation processes for the implementation of complex, inter-jurisdictional projects. He tends to lead the team in all these projects, interacting with the other parties and representing his clients until the transaction has been completed.
Carlos has participated directly as team manager, in national and/or international projects related to the renewable energies, aerospace, biotechnology, fintech, mining and chemical, real estate/hotel, financial, industries, etc.
He is also in charge of developing the international investments area of Garrigues’ Seville office. In this area he is responsible for all the foreign clients that have invested in the area of influence of the Seville office, advising them in the negotiation and execution of the agreements arising from these transactions. His remit also covers the coordination with other jurisdictions, of processes for the internationalization of different clients in the area. Given the characteristics of the transactions on which he provides advisory services, he works in Spanish or English and in some cases in French.
In this connection, he has coordinated, advised on and participated in the entry and exit of clients in various industries such as aerospace, construction and renewable energies, to and from external markets such as Central and Eastern Europe (Poland, Romania, Bulgaria, the Baltic States), investments in other European countries (such as France, Germany and Italy), and projects in the Americas (US, Brazil, Colombia, Chile and Mexico).
Between 2007 until July 2012 and from 2017 to date, he has been the partner in charge of Garrigues’ Warsaw office. He has taken part in the implementation, development and management of the office, providing direct assistance to the various Spanish and international clients looking to invest in Poland and its neighboring countries. This office provides services in Polish law directly and his sphere of responsibilities include coordinating the team of local lawyers and also relations with specific clients. In this regard, as a result of his experience with other law firms in the area, to date he has been coordinating clients with interests in Romania and the Baltic States and has also taken part in projects involving Bulgaria and the Czech Republic.
With respect to this last area, he has participated in and coordinated highly complex projects, including establishing initial contact between clients and those markets and providing the necessary legal advice to enable them to set up business and grow in the area.

Teaching activity
Carlos is a speaker and lecturer at various training centers in Spain and Poland (Universidad Loyola, Escuela de Organización Industrial (EOI), Universidad Pablo Olavide de Sevilla, Centro de Estudios Cajasol, Lazarski University, Warsaw). He has also lectured at numerous specialist courses and conferences and has chaired and spoken at events held in Central and Eastern Europe on a range of international investment-related topics (Instituto San Telmo, Organización Empresarial APD).
Memberships
He is a member of the Seville Bar Association (1998) and is registered on the list of foreign lawyers at Warsaw Bar Association (2008).
Distinctions
Carlos Rapallo was named as one of the key individuals in the M&A practice area by Chambers and Partners 2011 and the Legal 500 for 2011.
